Trade licence after an auction award: review premises approval and own licence

What a buyer of a business property at auction should review about premises approval, its scope and the new operator’s own trade licence.

When a restaurant, workshop or other business property is sold in a judicial auction, the buyer does not automatically acquire the previous operator’s personal trade licence. Ownership of the property, approval of the business premises and the right to carry on a trade must be examined separately.

The award therefore does not answer by itself whether the business may continue at the location. The decisive material is the documentation for the particular premises, the approved way of operating them and the new operator’s own licensing position.

Do not assume a business use before bidding

If the edict and documents do not show a clear business use, do not price that use as a guaranteed property feature. Clarify the actual approval status before basing financing or a bid on it.

Ownership, premises approval and trade activity are separate questions

The award gives the buyer the legal position in the auctioned property under the rules of the enforcement proceeding. It does not mean that the former operator’s personal trade licence is replaced by the buyer’s ownership.

The premises must be considered separately. Sections 74 and 77 of the Austrian Trade, Commerce and Industry Regulation Act concern the particular premises, the way they are operated and the interests protected by the approval system. In practice, the approval and its conditions belong to the property review, while the right to carry on the trade belongs to the operator review.

What the premises file must show

Check which rooms, machines, opening hours, emissions and protective conditions are actually covered by the approval. An advertisement, a former business name or the equipment on site does not prove that every intended operating method is approved.

The file should include the premises approval with approved plans, later amendments, conditions and official correspondence about compliance. If the actual rooms or equipment differ from the approved state, that difference must be clarified before the business opens.

Why the award does not replace a personal trade licence

A trade licence is connected to the person or business entity carrying on the activity. Buying a property or equipment located there therefore does not automatically make the buyer the former trade holder.

This remains true when the business is intended to continue at the same location. The new operator must review its own licensing position and the precise activity. The former company name or the fact that the location operated successfully is not enough.

Identify changes before the first day of operation

A different activity, new machines, longer opening hours or a changed layout can affect whether the existing approval is sufficient. That issue is independent of the transfer of ownership and should not be postponed until after financing is committed.

Compare the intended use with the approval, plans and conditions. If the match is not clear, obtaining a professional and administrative clarification before opening is a separate step in the acquisition plan.

The pre-bid and post-award reviews have different focuses

Before bidding, the question is whether the intended use rests on a reliable legal and economic basis. After the award, the review must use the documents actually obtained, the payment and handover situation and the new operator’s role.

At both stages, business usability should not be treated as an implied guarantee of the auction proceeding. The decision should rest on the documents and the activity actually planned.

Common questions about an auctioned business property

May I continue the former business immediately after the award? +
Not on the basis of the award alone. Review your own licensing position and whether the intended operation matches the approved state of the premises.
Does the premises approval remain effective after a change of holder? +
Section 80 of the Austrian Trade Regulation Act generally provides that a change in the person of the holder does not affect the approval’s effectiveness. The scope of approval and the new operator’s personal trade licence still require separate review.
Is the former operator’s licence enough? +
No. It does not automatically prove the new operator’s personal entitlement. The new operator must clarify its own licensing position.
What must be checked for new machines or longer opening hours? +
Compare the change with the approval, plans and conditions. A different operating method may require a separate trade or premises review.
